M&A / Transactions

We offer advice concerning different types of transactions (sale and purchase of shares; capital increases; takeovers; asset deals, etc.) both on the sell and the buy side (and the target). We draft all the relevant transaction documentation, represent the clients in negotiations, and provide all other relevant legal support in the sales process/transaction, inter alia:

• Exercise of due diligence reviews of the target company/asset;
• Advice regarding the structure of the transaction and the relevant steps in the process;
• Drafting of all transaction documents in the sales process (Share sale and purchase agreement (SPA), Escrow Agreement, Transitional period agreements, etc.);
• Representation of clients in the transaction process, including in negotiations (rendering advice to sellers, purchasers or the target companies);
• Representation in the merger notification process;
• Advice related to the mandatory takeover offer.
